Terms of Service

1. Introduction
Welcome to Stoic. These Terms of Service ("Terms") govern your access to and use of the Stoic platform, including our website, mobile applications, and related services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. Definitions
"Stoic" refers to Stoic Inc., the company operating the Service.
"Coach" refers to certified professionals who provide coaching services through our platform.
"Client" refers to individuals who use the Stoic AI companion and may engage with Coaches.
"Timeline" refers to the record of a Client's interactions with the AI companion that may be shared with their Coach.
"AI Companion" refers to the artificial intelligence-powered conversational tool provided to Clients.
3. Coach-Specific Terms
3.1 Eligibility
To join Stoic as a Coach, you must hold a valid coaching certification from a recognized body (ICF, NBHWC, or equivalent) and have at least two years of active coaching experience.
3.2 Independent Contractor Status
Coaches operate as independent contractors, not employees of Stoic. You are responsible for your own taxes, insurance, and compliance with applicable laws and professional standards.
3.3 Professional Standards
Coaches agree to maintain the highest professional and ethical standards, including adherence to their certifying body's code of ethics. Stoic reserves the right to remove Coaches who violate these standards.
3.4 Compensation
Coaches set their own session rates. Stoic charges a platform fee on each transaction. Specific rates and payment terms are detailed in the Coach Agreement provided during onboarding.
4. Timeline Data and Privacy
4.1 Client Control
Clients maintain full control over their Timeline data. They choose what to share with their Coach and can revoke access at any time.
4.2 Coach Obligations
Coaches agree to treat all Timeline data as confidential. This information may only be used to support the coaching relationship and must not be shared, sold, or used for any other purpose.
4.3 Data Security
Stoic employs industry-standard encryption and security measures to protect Timeline data. We are HIPAA-compliant where applicable. See our Privacy Policy for complete details.
5. AI Companion Limitations
The AI Companion is designed to support emotional processing between coaching sessions. It is not a substitute for professional coaching, therapy, or medical treatment.
The AI Companion does not provide crisis intervention. Users experiencing mental health emergencies should contact emergency services or crisis hotlines.
Stoic does not guarantee the accuracy, completeness, or appropriateness of AI Companion responses. Users acknowledge that AI systems have limitations and may occasionally produce unexpected results.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service
- Share your account credentials with others
- Misrepresent your identity or professional qualifications
- Use the Service to harass, abuse, or harm others
- Extract data from the Service through automated means
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Stoic and are protected by international copyright, trademark, and other intellectual property laws.
Coaches retain ownership of their own coaching methodologies and materials. By using the Service, Coaches grant Stoic a limited license to display their profile and facilitate connections with Clients.
8. Termination
Either party may terminate the agreement at any time. Coaches must provide 30 days' notice and complete any active client engagements before departing.
Stoic may suspend or terminate accounts that violate these Terms or for any other reason at our discretion, with or without notice.
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, and limitations of liability.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Stoic does not warrant that the Service will be uninterrupted, secure, or error-free. We do not endorse or guarantee the quality of any Coach's services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to Stoic in the twelve months preceding the claim.
11. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be addressed through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
You agree to waive your right to participate in class action lawsuits or class-wide arbitration against Stoic.
12. Modifications to Terms
Stoic reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
